Affiliate Program Terms & Conditions

1.1 You must be at least 18 years old and legally capable of entering into binding contracts.

1.2 Application to the Affiliate Program does not guarantee acceptance. Scoopify reserves the sole right to approve or reject any application for any reason or no reason.

1.3 You must maintain accurate contact information, including a valid email address and payment details.

1.4 You represent and warrant that you have the legal authority to enter into this Agreement.

2.1 Independent Contractor. You are an independent contractor and not an employee, agent, partner, or joint venturer of Scoopify. Nothing in this Agreement creates an employment, agency, partnership, or joint venture relationship.

2.2 You have no authority to bind Scoopify or make representations on our behalf except as expressly authorized in writing.

2.3 You are solely responsible for all taxes, licenses, and permits required in connection with your participation in the Affiliate Program.

3.1 Pro Plan Commissions. Affiliates earn a one-time commission of $250 USD for each new customer who upgrades to the Pro plan ($449/month) through their unique affiliate link or promo code.

3.2 Starter Plan Commissions. Starter plan referrals do not generate commission. The Starter plan is completely free with no platform fees, enabling businesses to try Scoopify risk-free. Affiliates benefit when Starter customers upgrade to Pro.

3.3 Promotional Discount Codes. Affiliates may be provided with special promotional codes that offer end users 50% off the Pro plan for the first 3 months. When a customer uses an affiliate's promotional code during signup, that affiliate receives the $250 commission regardless of any other attribution. Promotional codes override last-click attribution.

3.4 Qualified Conversion. A conversion is qualified when: (a) the customer is new to Scoopify, (b) the customer completes signup within 90 days of clicking your affiliate link or using your promotional code, (c) the customer makes their first payment, and (d) the payment is not refunded or charged back within 60 days.

3.5 Commissions are earned only when a customer signs up for the Pro plan. Upgrades from Starter to Pro after initial signup do not generate additional commissions unless the customer was originally referred by you and upgrades within 90 days of signup.

3.6 Scoopify reserves the right to modify commission rates, structure, or terms at any time with or without notice. Changes will apply to new conversions after the effective date of the change.

4.1 Payment Schedule. Pro plan commissions are paid within 60 days of the qualified conversion.

4.2 Minimum Payout. Payments are issued only when your account balance reaches $50 USD. Balances below this threshold roll over to the next payment period.

4.3 Payment Methods. Payments are made via direct deposit (ACH), wire transfer, or other methods specified by Scoopify. You are responsible for any transaction fees imposed by your financial institution.

4.4 Withholding. Scoopify may withhold commissions if we suspect fraud, Terms of Service violations, or pending disputes. Withheld amounts may be forfeited if violations are confirmed.

4.5 Tax Responsibility. You are solely responsible for all taxes related to your commission earnings. Scoopify will issue Form 1099 or other tax documentation as required by law. International affiliates must provide appropriate tax forms (W-8BEN, etc.).

4.6 Chargebacks and Refunds. If a customer requests a refund or initiates a chargeback, the associated commission will be deducted from your account balance, even if already paid.

5.1 Compliance. You must comply with all applicable laws, regulations, and industry standards, including but not limited to FTC guidelines requiring disclosure of affiliate relationships.

5.2 Disclosure Requirement. You must clearly and conspicuously disclose your affiliate relationship with Scoopify in all promotional content. Example: "This video contains affiliate links. I may earn a commission if you sign up through my link."

5.3 Prohibited Marketing Methods:

• Spamming, unsolicited emails, or other forms of unwanted communication
• Bidding on Scoopify trademarks or branded keywords in paid search campaigns
• Cookie stuffing, forced clicks, or any form of automated traffic
• Misrepresenting Scoopify's services, pricing, or capabilities
• Using misleading, deceptive, or fraudulent marketing practices
• Creating fake accounts or self-referring to earn commissions
• Promoting Scoopify in contexts that are illegal, adult-oriented, violent, discriminatory, or harmful
• Using iframe implementations, redirects, or URL shorteners that hide affiliate links
• Making false claims, testimonials, or guarantees about Scoopify
• Creating websites, social media profiles, or content that impersonate Scoopify or suggest official partnership

5.4 Brand Guidelines. Use of Scoopify trademarks, logos, or other intellectual property requires prior written approval and must comply with our brand guidelines.

5.5 Content Quality. All promotional content must be accurate, professional, and reflect positively on Scoopify's brand. We reserve the right to request removal of any content at our discretion.

6.1 Affiliate Links and Promo Codes. You will be provided with unique tracking links and/or promotional codes. Conversions are tracked using cookies with a 90-day attribution window from the last click or code entry.

6.2 Cookie Policy. By using affiliate links, visitors to your content consent to our use of cookies for tracking purposes as described in our Privacy Policy. Cookies remain active for 90 days.

6.3 Attribution Disputes. Scoopify's tracking system is the sole authority for determining qualified conversions. We are not responsible for tracking failures due to browser settings, ad blockers, or technical issues beyond our control.

6.4 Promotional Code Priority. When a customer uses an affiliate's promotional code during signup, that affiliate receives the commission regardless of cookie-based tracking or other affiliate links. Promotional codes take precedence over last-click attribution.

6.5 Last-Click Attribution. If a customer clicks multiple affiliate links without using a promotional code, the commission is awarded based on last-click attribution (most recent affiliate link clicked within the 90-day window).

7.1 Scoopify IP. Scoopify retains all rights, title, and interest in its trademarks, service marks, logos, product names, website content, and other intellectual property.

7.2 Limited License. Scoopify grants you a non-exclusive, non-transferable, revocable license to use approved marketing materials solely for promoting Scoopify in accordance with this Agreement.

7.3 Your Content. You grant Scoopify a worldwide, royalty-free, perpetual license to use, reproduce, and display your promotional content featuring Scoopify for our marketing purposes.

7.4 No Derivative Works. You may not modify, adapt, or create derivative works from Scoopify's intellectual property without prior written consent.

8.1 Termination by Either Party. Either party may terminate this Agreement at any time with or without cause by providing written notice to the other party.

8.2 Immediate Termination. Scoopify may immediately terminate your affiliate account without notice if you violate any term of this Agreement, engage in fraudulent activity, or damage Scoopify's reputation or business.

8.3 Effect of Termination. Upon termination: (a) your right to promote Scoopify ceases immediately, (b) earned commissions for qualified conversions prior to termination remain payable subject to Section 4, (c) pending or unqualified commissions are forfeited, and (d) you must immediately cease using all Scoopify intellectual property.

8.4 Survival. Sections related to confidentiality, intellectual property, limitations of liability, and indemnification survive termination.

9.1 You agree not to disclose any confidential information learned through participation in the Affiliate Program, including but not limited to commission structures, conversion data, customer information, business strategies, or non-public product information.

9.2 This obligation continues indefinitely, including after termination of this Agreement.

10.1 You agree not to make any disparaging, defamatory, or negative statements about Scoopify, its products, services, employees, or business practices during and after participation in the Affiliate Program.

10.2 Constructive feedback provided privately to Scoopify is not considered disparagement.

11.1 Accepted affiliates receive complimentary access to a Scoopify Pro account ($449/month value) for the duration of their active affiliate status.

11.2 This benefit is contingent on: (a) maintaining good standing in the Affiliate Program, (b) generating at least one qualified conversion per 90-day period, and (c) compliance with all terms of this Agreement.

11.3 The free Pro account includes all standard Pro plan features. However, certain usage-based features such as Twilio marketing phone numbers, SMS messaging, and other third-party integrations are charged separately based on actual usage. You are responsible for all usage-based charges incurred on your account.

11.4 The free Pro account is for your own business use only and may not be resold, transferred, or used for purposes of competing with Scoopify.

11.5 Upon termination of your affiliate status for any reason, access to the free Pro account will be immediately revoked unless you convert to a paid subscription.

12.1 THE AFFILIATE PROGRAM IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

12.2 Scoopify does not warrant that the Affiliate Program will be uninterrupted, error-free, or meet your expectations.

12.3 Scoopify makes no guarantees regarding potential earnings, traffic, conversions, or success in the Affiliate Program.

12.4 You acknowledge that past performance and testimonials are not indicative of future results.

13.1 TO THE MAXIMUM EXTENT PERMITTED BY LAW, SCOOPIFY'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT SHALL NOT EXCEED THE TOTAL COMMISSIONS PAID TO YOU IN THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

13.2 IN NO EVENT SHALL SCOOPIFY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION.

13.3 Some jurisdictions do not allow certain warranty disclaimers or limitations of liability, so the above limitations may not apply to you.

14.1 You agree to indemnify, defend, and hold harmless Scoopify, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your breach of this Agreement, (b) your promotional activities, (c) your violation of any law or third-party rights, or (d) any claim that your content infringes or violates any intellectual property or other rights.

15.1 Right to Modify. Scoopify reserves the right to modify, amend, or update these terms at any time, with or without notice, at our sole discretion.

15.2 Notification. We will make reasonable efforts to notify active affiliates of material changes via email or through the affiliate dashboard, but we are not obligated to do so.

15.3 Continued Participation. Your continued participation in the Affiliate Program after changes are made constitutes acceptance of the modified terms.

15.4 Rejection of Changes. If you do not agree to modified terms, your sole remedy is to terminate your participation in the Affiliate Program.

16.1 Scoopify reserves the right to modify, suspend, or discontinue any aspect of the Affiliate Program at any time, including but not limited to commission structures, payment terms, qualification criteria, tracking methods, and program benefits.

16.2 Changes to commission structures apply to conversions occurring after the effective date of the change unless otherwise specified.

16.3 Scoopify is not liable for any damages or losses resulting from modifications to the Affiliate Program.

17.1 Entire Agreement. This Agreement constitutes the entire understanding between you and Scoopify regarding the Affiliate Program and supersedes all prior agreements and understandings.

17.2 Governing Law. This Agreement is governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

17.3 Dispute Resolution. Any disputes arising from this Agreement shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, conducted in Delaware. You waive any right to participate in class actions.

17.4 Severability. If any provision of this Agreement is found to be unenforceable, the remaining provisions shall remain in full force and effect.

17.5 Waiver. Failure by Scoopify to enforce any right or provision shall not constitute a waiver of such right or provision.

17.6 Assignment. You may not assign or transfer this Agreement without prior written consent from Scoopify. Scoopify may assign this Agreement at any time without notice.

17.7 Force Majeure. Scoopify is not liable for any failure or delay in performance due to circumstances beyond our reasonable control.

17.8 Notices. All notices must be sent to hi@scoopify.co. Notices to you may be sent to the email address on file in your affiliate account.

18.1 By participating in the Affiliate Program, you acknowledge and agree to the collection, use, and processing of your data as described in our Privacy Policy.

18.2 You must comply with all applicable data protection and privacy laws (including GDPR, CCPA) when promoting Scoopify.

18.3 You must not collect, store, or share any customer data obtained through your affiliate activities except as expressly permitted by law and this Agreement.

19.1 You agree to comply with all applicable anti-corruption and anti-bribery laws, including the U.S. Foreign Corrupt Practices Act.

19.2 You will not offer or provide anything of value to government officials or other parties to improperly obtain business or gain an unfair advantage.
